Scope of Agreement
These Terms & Conditions govern all service agreements between EZRA ADS LTD and its clients. By engaging our services, you agree to be bound by these terms. They are governed by and construed in accordance with the laws of England and Wales.
Services Provided
We provide digital advertising management, paid media strategy, SEO, branding, and related services as defined in each client's specific service agreement or proposal. The scope, deliverables, and timelines are set out in individual statements of work.
Payment Terms
Invoices are due within 14 days of issue unless otherwise agreed in writing. Overdue balances accrue interest at 8% above the Bank of England base rate per annum under the Late Payment of Commercial Debts Act 1998. All fees are quoted exclusive of VAT.
Client Obligations
Clients are responsible for providing accurate account access, timely approvals, and sufficient advertising budget to meet agreed performance objectives. Delays caused by client inaction may affect delivery timelines without penalty to EZRA ADS LTD.
Intellectual Property
Terms & Conditions
Upon full payment, clients receive a licence to use deliverables created by EZRA ADS LTD for the agreed purposes. Underlying methodologies, templates, and proprietary frameworks remain the intellectual property of EZRA ADS LTD.
Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the engagement. This obligation survives termination of the agreement for a period of two years.
Limitation of Liability
EZRA ADS LTD's total liability under any engagement shall not exceed the total fees paid by the client in the three months preceding the claim. We accept no liability for indirect, consequential, or loss-of-profit damages arising from advertising performance fluctuations.
Termination
Either party may terminate a service agreement with 30 days' written notice. Fees accrued up to the termination date remain payable. EZRA ADS LTD reserves the right to terminate with immediate effect in cases of non-payment or material breach.
Governing Law
These terms are governed by English law. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to EZRA ADS LTD's right to seek injunctive relief in any jurisdiction.
